Burdens of Objects 1-5: 
Leaseback:
  • leaseback area - no more than 212.3 sq.m. (1st floor);
  • rental rate - not more than 10,089 (ten thousand eighty nine) rub. 36 kopecks/sq.m./year (840.78 rub./sq.m./year) including VAT, excluding utilities costs;
  • a condition precedent - signing the act of acceptance and transfer of the object after the separation of the areas planned for return lease (not later than 5 months from the date of signing the sale and purchase agreement);
  • the total area planned for lease is subject to specification after the technical inventory on the fact of separation;
  • until the moment of transfer of the ownership right, the Bank (Seller) has the right at its own discretion to dismantle the separated improvements and equipment (air conditioners, etc.) without further restoration of the premises;
  • the rental area may be changed by the Lessee unilaterally and extrajudicially on condition that the Lessor is notified in writing not later than 2 (two) months in advance, without any penalties applied by the Lessor. The new amount of rental fee shall be calculated according to the occupied area and shall be established from the 1st day of the month following the month of receipt by the Lessor of the notification on the change of the leased area. If necessary, the Lessor and the Lessee shall undertake all actions depending on them necessary for the state registration of amendments to the terms and conditions of the agreement with regard to the area of the leased premises within a period not exceeding 90 (ninety) calendar days from the date of receipt by the Lessor of the notification on the change in the leased area;
  • the lease rate includes payments for the use of the premises and the land plot, including payments for the operation and maintenance of the building/premises life support systems;
  • utilities (use of electricity, water and heat supply and sewage) shall be paid by the Lessee separately on the basis of meter readings and payment documents issued by supplying and servicing organizations at the current tariffs and standards, without any additional charges from the Lessor;
  • lease term - not less than 10 years with the possibility of early termination unilaterally and extrajudicially at the request of the Lessee, provided that the Lessor is notified in writing not later than 2 (two) months prior to the date of termination of the contract, without penalties applied by the Lessor;
  • rent indexation - by agreement of the parties, not more than once a year, starting from the third year of the lease term, according to the consumer price index for the previous calendar year published on the official website of the Federal State Statistics Service of the Russian Federation www.gks.ru, but not more than by 5 (five) %;
  • payment for the Assets shall be made by the Buyer at a time, in full, within 10 (ten) working days from the date of receipt of the notification from the Seller about the readiness of the Object for transfer and the need for payment;
  • a deferred condition is signing of the act of acceptance and transfer of the object after the standalone areas planned to be leased back (but not later than 6 months from the date of signing the sale and purchase agreement).
  • the Bank (the Seller) has the right to dismantle the separated improvements and equipment (air conditioners, etc.) at its own discretion without further restoration of the premises until the Object is handed over under the transfer and acceptance act to the Buyer.
