Essential condition for the sale of Object 1: the Owner and the Buyer sign a long-term lease agreement with Sberbank PJSC on the terms and conditions simultaneously with the signing of the Sale and Purchase Agreement for the Object:
- part of the Object with the total area of 177 sq.m.;
- the lease area may be changed unilaterally and extrajudicially at the request of the Lessee on condition that the Lessor is notified in writing not later than 2 (two) months in advance without any penalty imposed by the Lessor;
- rent rate not exceeding 3,768 rub./sq.m./year (including VAT or VAT, depending on the taxation system applied by the Lessor).
- the lease rate includes payments for the use of the premises and the land plot, including payments for the operation and maintenance of the building's life support systems (electrical maintenance of the facility, maintenance of heat supply systems, maintenance of cold (hot) water supply and sewerage systems). The boundaries of responsibility for the operation of engineering systems shall be determined between the Lessee and the Lessor on the basis of the act of delimitation of the balance sheet belonging of the parties. Operation and maintenance of the life support systems of the premises occupied by the Lessee shall be performed independently by the Lessee;
- utility services (use of electricity, water, heating and sewage) shall be paid by the Lessee separately on the basis of meter readings and payment documents issued by the supplying and servicing organizations according to the current tariffs and standards, without any additional charges from the Lessor;
- lease term - not less than 10 years with the possibility of early termination unilaterally and extrajudicially at the request of the Lessee, provided that the Lessor is notified in writing not later than 2 (two) months prior to the date of termination of the contract without any penalties imposed by the Lessor;
- rent indexation by agreement of the parties - no more than once a year, starting from the third year of the lease term, according to the consumer price index, for the previous calendar year published on the official website of the Federal State Statistics Service of the Russian Federation www.gks.ru, but no more than by 5 (five) %.
